Webhero Referral Agreement
1. Catalog.Com hereby agrees to pay Contractor a referral fee (the "Fee"), as provided herein, for each new customer (the "Customer") referred to Catalog.Com for the provision of services by Catalog.
2. Catalog.Com shall pay recurring annual referral fee equal to:

3. The referral credit shall be pending immediately upon signup by the referred customer. After 30 days, the referral credit will be added to your account. You may apply the credit to your bill or when the amount exceeds $50, have a check mailed to you.
4. The Customers referred by Contractor are Customers of Catalog.Com. Contractor may at no time persuade or entice Customers referred by Contractor or other Customers of Catalog.Com to leave Catalog.Com. Contractor my receive referral credits only on new accounts. If the Contractor sets up a new account that is not linked to his referral account, he may receive referral credits for that account.
5. The parties acknowledge and understand that each party is an independent contractor. This Agreement shall not create nor be construed to create an employee/employer, agent/principal, partnership or joint venture or any other relationship between Catalog.Com and the Contractor, other than that of independent contractor. Further, neither party has any authority whatsoever to represent to any party that it is the other's attorney-in-fact or to act on behalf of or bind the other party in any capacity or way.
6. The terms and conditions herein contained constitute the entire agreement between the parties and supersede all previous communications whether oral or written between the parties hereto with respect to the subject matters hereof, and no other previous agreement or understanding varying or extending the same shall be binding upon either party hereto.
7. Catalog.Com may from time to time amend this agreement and shall post any amendments in a readily accessible place on the Internet.
8. Any notice required or permitted to be given to another party hereto shall be given by sending such notice by registered mail or certified mail, postage prepaid to the address set forth below, or to such other address as that party may designate by like notice: (a) if to Catalog.Com, at 14000 Quail Springs Parkway, Suite 3600, Oklahoma City, OK 73134; (b) if to the Contractor, at the address set forth above.
9. This Agreement is governed by the laws of the State of Oklahoma. Any action brought in connection with this Agreement shall be brought in the District Court of Oklahoma County, Oklahoma City, Oklahoma, and Contractor hereby consents to said venue.
